Terms of Service

1. Subject

These Terms of Service ("Terms") govern access to and use of the Chut platform (the "Platform"), operated by Chut.App BV, a private limited company under Belgian law, BCE/VAT BE 1035.742.145, with registered office at Ballingstraat 116, 8560 Wevelgem, Belgium ("Chut").

The Platform is a multi-tenant SaaS environment offering business applications:

  • Accounting — accounting management: documents, entries, chart of accounts, suppliers, reports
  • Legal — AI legal assistant: contract analysis, company-formation guidance, legal Q&A

2. Acceptance

By using the Platform you accept these Terms in full. If you do not accept these Terms, you must not use the Platform.

3. Service description

3.1 Chut platform

Chut provides a multi-tenant SaaS platform letting businesses access business apps through a single portal. Each company (tenant) has an isolated workspace with its own data.

3.2 Accounting module

The Accounting module covers document management, bookkeeping entries, chart of accounts, third-party records, and report generation.

3.3 Legal module

The Legal module uses AI (provided by OpenAI Ireland Limited, with onward transfers to OpenAI, L.L.C. covered by the European Commission's Standard Contractual Clauses) to analyse contracts, support company formation, and answer legal questions. AI-generated answers are indicative and do not constitute professional legal advice.

4. Data processing

4.1 Roles

Under the GDPR, your company is the Data Controller. Chut.App BV acts as the Data Processor.

4.2 Data Processing Agreement

A Data Processing Agreement (DPA) is available at /dpa. The DPA is an integral part of these Terms.

5. Acceptable use

You agree to:

  • Use the Platform consistent with its intended purpose and applicable laws
  • Not attempt to bypass security or data-isolation controls
  • Not use the Platform to store or transmit unlawful content
  • Not submit special-category personal data within the meaning of Art. 9 GDPR (health, ethnic origin, political opinions, etc.)
  • Keep your login credentials confidential
  • Report any security vulnerability you discover to security@chut.app

6. Availability

Chut endeavours to keep the Platform available 24/7, excluding planned maintenance. Chut does not guarantee 100% availability and will not be liable for outages caused by:

  • Maintenance required for normal operation
  • Failure or incident of the cloud infrastructure (Scaleway)
  • Force majeure

Planned maintenance will be notified to account administrators at least 48 hours in advance.

7. Limitation of liability

To the maximum extent permitted by law, Chut's liability is limited as follows:

  • Chut shall not be liable for indirect damages, including loss of revenue, profit, or data
  • Chut's total liability is capped at the subscription fees you paid in the 12 months preceding the claim
  • Responses produced by the Legal module (AI) are indicative and do not replace advice from a qualified legal professional. Chut disclaims any liability for decisions made on the basis of those responses

8. Termination and data deletion

8.1 Termination

You may terminate your account at any time from the Platform settings or by request to the DPO.

8.2 Data deletion

After termination, your data is handled as follows:

  • Soft delete — the account is disabled immediately and data is retained for 30 days (grace period). You can cancel the deletion during this period.
  • Hard delete — after 30 days, personal data is permanently deleted.
  • Legal retention — accounting documents are archived and anonymised under the 7-year retention duty (Belgian Economic Law Code, Art. III.86). Associated personal data is anonymised.

9. Intellectual property

You retain full ownership of your data. Chut claims no IP rights in user-submitted data.

The Platform, its source code, interfaces, and documentation are the exclusive property of Chut.App BV and are protected by copyright.

10. Governing law and jurisdiction

These Terms are governed by Belgian law.

The parties will first try to resolve any dispute amicably. Failing that, the courts of Chut's registered seat have exclusive jurisdiction, namely the Business Court of Ghent, Kortrijk division.

11. Changes

Chut may amend these Terms. Material changes will be notified to users at least 30 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the new terms.
